Michaela Pomponio is a lawyer in the Business Law Group in our Vancouver office. Her practice focuses on corporate and commercial matters, with an emphasis on mergers and acquisitions. She regularly leads and supports key aspects of transactions, including due diligence reviews, negotiating and drafting contracts, and coordinating closings. She is particularly known for keeping even the most complex files organized (and on track), translating dense legal concepts into clear, actionable advice, and navigating the inevitable last-minute curveballs.

EXPERTISE

Having grown up working in her family’s small, owner-operated business in Victoria, Michaela has a firsthand appreciation for the time, risk, and resilience it takes to build something from the ground up. This perspective shapes her practice, particularly on sell-side transactions, where she is passionate about helping founders and business owners navigate the milestone of a sale. She understands that these transactions are often more than financial events – they reflect years of hard work, identity, and legacy. Michaela is known for guiding sellers with clarity and care so they feel informed, supported, and well-positioned at every step.

WORTH NOTING

Outside of the office, Michaela can usually be found in the kitchen experimenting with new recipes that she’s swapped with her sister. She is currently on a mission to perfect homemade pasta, pasta sauce, and meatballs. When she’s not cooking, she is out on long walks (more “wander and explore” than “race and record a time”) and firmly believes a good walk is best measured in sweet treats and dog sightings, not kilometres (to date, a highly successful system).
